Terms of Service

These Terms of Service (the Terms) constitute a legally binding agreement between Songyuan Duanlian Network Technology Co., Ltd., operating as Duan Link (hereinafter referred to as Duan Link, we, us, or our), and you, the user of our website at duanlink.lol (the Website) and the client of our computer systems design and integrated systems services (the Services).

By accessing or using our Website, or by engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access our Website or use our Services.

1. Definitions

For the purposes of these Terms, the following definitions apply:

  • Client means any individual or entity that engages Duan Link for Services.
  • Services means computer systems design, integrated systems architecture, network infrastructure engineering, cybersecurity systems engineering, cloud and hybrid infrastructure design, data center design and optimization, systems integration and consulting, and any related professional services provided by Duan Link.
  • Deliverables means all designs, architectures, specifications, documentation, configurations, code, reports, recommendations, and other work products created by Duan Link in the course of providing Services.
  • Website means the website located at duanlink.lol, including all subdomains, pages, and content therein.

2. Use of the Website

2.1 Acceptable Use

You agree to use the Website only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Website in any way that violates any applicable federal, state, local, or international law or regulation.
  • Transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any junk mail, chain letter, spam, or any other similar solicitation.
  • Impersonate or attempt to impersonate Duan Link, a Duan Link employee, another user, or any other person or entity.
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Website, or which may harm Duan Link or users of the Website.
  • Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website.

2.2 Intellectual Property Rights

The Website and its entire contents, features, and functionality — including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement thereof — are owned by Duan Link, its licensors, or other providers of such material and are protected by Chinese and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may use the Website for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website without our prior written consent.

3. Services and Engagement

3.1 Scope of Services

The specific scope, deliverables, timeline, and fees for any Services engagement shall be set forth in a separate written agreement, statement of work, or proposal executed by both parties (the Engagement Agreement). These Terms govern the general relationship between Duan Link and the Client, while the Engagement Agreement governs the specific project parameters.

3.2 Professional Standards

Duan Link shall perform all Services with reasonable skill, care, and diligence in accordance with generally accepted industry standards and practices for computer systems design and integrated systems engineering. We warrant that our Services will be performed by qualified personnel with appropriate expertise and certifications relevant to the technologies and systems involved.

3.3 Client Responsibilities

To enable Duan Link to perform the Services effectively, the Client agrees to:

  • Provide timely access to relevant personnel, facilities, systems, data, and documentation reasonably required for the performance of Services.
  • Designate a point of contact with authority to make decisions and provide approvals on behalf of the Client.
  • Review and respond to Duan Link inquiries, deliverables, and requests for feedback within agreed timeframes.
  • Maintain appropriate backups of all data and systems prior to any implementation or migration activities.
  • Comply with all applicable laws and regulations in connection with the use of Deliverables and Services.

3.4 Intellectual Property in Deliverables

Unless otherwise specified in the Engagement Agreement, Duan Link retains ownership of all pre-existing intellectual property, methodologies, tools, frameworks, and know-how used in performing the Services. Upon full payment of fees, the Client receives a perpetual, non-exclusive, non-transferable license to use the Deliverables for the Client's internal business purposes. Custom-developed components specifically created for the Client under the Engagement Agreement shall be assigned to the Client upon full payment, subject to Duan Link's retained rights in underlying tools and methodologies.

4. Fees and Payment

Fees for Services shall be as set forth in the Engagement Agreement. Unless otherwise specified, payment terms are net thirty (30) days from the date of invoice. Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is less. The Client is responsible for all applicable taxes, duties, and governmental charges associated with the Services, excluding taxes based on Duan Link's net income.

5. Confidentiality

Both parties acknowledge that during the course of the engagement, each may receive or have access to confidential information of the other party. Confidential Information includes all non-public information, technical data, business plans, client lists, trade secrets, system designs, security architectures, and any other information that a reasonable person would understand to be confidential.

Each party agrees to: (a) protect the other party's Confidential Information using the same degree of care it uses to protect its own confidential information of like nature, but in no event less than reasonable care; (b) use Confidential Information only for the purposes of performing obligations or exercising rights under these Terms and any Engagement Agreement; and (c) not disclose Confidential Information to any third party except as authorized in writing by the disclosing party or as required by law.

Confidentiality obligations shall survive the termination of these Terms and any Engagement Agreement for a period of three (3) years, or indefinitely with respect to trade secrets.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Duan Link's total aggregate liability to the Client for any and all claims arising out of or relating to these Terms or any Services provided shall not exceed the total fees paid by the Client to Duan Link for the specific Services giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to liability.

In no event shall Duan Link be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunity, business interruption, or damage to reputation, regardless of the theory of liability, even if advised of the possibility of such damages.

Duan Link shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemic or pandemic conditions, war, terrorism, civil unrest, governmental actions, labor disputes, utility failures, Internet or telecommunications disruptions, or third-party service provider failures.

7. Disclaimer of Warranties

The Website and its content are provided on an as is and as available basis, without any warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Duan Link disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or course of performance.

Duan Link does not warrant that the Website will be uninterrupted, error-free, secure, or free from viruses or other harmful components, or that any defects will be corrected. Duan Link makes no representations or warranties regarding the accuracy, completeness, reliability, or timeliness of any content on the Website.

8. Indemnification

You agree to defend, indemnify, and hold harmless Duan Link, its affiliates, and their respective directors, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Website or Services; (c) your violation of any third-party rights, including intellectual property rights; or (d) your violation of any applicable law or regulation.

9. Termination

Either party may terminate any Engagement Agreement in accordance with the termination provisions specified therein. Duan Link reserves the right to terminate or suspend your access to the Website, without prior notice or liability, for any reason, including but not limited to your breach of these Terms.

Upon termination: (a) all rights granted to the Client under these Terms shall immediately cease; (b) the Client shall promptly pay all outstanding fees for Services performed through the effective date of termination; and (c) each party shall return or destroy all Confidential Information of the other party in its possession or control. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property, confidentiality, limitation of liability, disclaimer of warranties, indemnification, and governing law provisions.

10. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the People's Republic of China, without giving effect to any choice-of-law or conflict-of-law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC). The arbitration shall take place in Beijing, China, and shall be conducted in the English language. The arbitral award shall be final and binding on both parties.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide notice, such as by posting the updated Terms on our Website with a revised Last Updated date. Your continued use of the Website or Services after any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must discontinue use of the Website and Services.

12. General Provisions

  • Entire Agreement: These Terms, together with any Engagement Agreement, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior agreements, understandings, and representations, whether written or oral.
  • Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
  • Assignment: You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. Duan Link may assign these Terms without restriction.
  • Relationship of the Parties: Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between the parties.
  • Notices: All notices under these Terms shall be in writing and delivered to the addresses set forth in the Engagement Agreement or, for Website-related matters, to the contact information provided on our Website.
